1. Introduction
1.1 Agreement Overview
These Terms of Service constitute a legally binding agreement between you and Spikefrost Limited. These Terms govern your access to and use of the Spikefrost AI-powered SaaS platform, including its website, applications, APIs, agent marketplace, and related services (collectively, the "Services").
1.2 Acceptance of Terms
By downloading, accessing, or using the Services, you:
- Confirm that you have read and understood these Terms
- Agree to be bound by these Terms in their entirety
- Agree to the Spikefrost Privacy Policy (as updated from time to time)
- Represent and warrant that you have the legal authority to enter into this agreement
If you do not agree to these Terms, you must not access or use the Services.
2. Definitions
- "Authorized User" means any person or entity permitted by you to access the Services under your account.
- "Content" means all data, code, files, configurations, projects, prompts, inputs, outputs, and materials processed through the Services.
- "Input" means any prompts, instructions, commands, data, or content provided by you to the Services.
- "Output" means any code, responses, configurations, or other materials generated by the Services based on your Inputs.
- "Third-Party Services" means external services integrated into Spikefrost, including but not limited to AI model providers (e.g., OpenAI, Anthropic), infrastructure services, and payment processors.
3. License to Use the Services
3.1 License Grant
Subject to your continuous compliance with these Terms and timely payment of any applicable fees, Spikefrost grants you "a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business or personal use."
3.2 Restrictions
You shall not, and shall not permit any third party to:
- Copy, distribute, sell, lease, sublicense, or commercially exploit the Services themselves
- Reverse engineer, decompile, or attempt to extract the source code or underlying algorithms of the platform
- Remove or obscure any proprietary notices, branding, or watermarks
- Interfere with the integrity, performance, or security of the Services
- Circumvent usage limits, rate limiting, or security safeguards
- Use automated scripts or scraping mechanisms except through official Spikefrost APIs
3.3 Intellectual Property Rights
Spikefrost Limited and its licensors retain all right, title, and interest in and to the Services, including all intellectual property rights therein. No rights are granted to you other than those expressly set forth in these Terms.
4. Accounts and Access
4.1 Registration
You must provide accurate, current, and complete information during the registration process. You are responsible for keeping your account information up to date.
4.2 Security
You are solely responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You must notify Spikefrost immediately if you suspect any unauthorized access or security breach.
4.3 Age Requirement
The Services are intended for users who are at least 18 years old. By using the Services, you warrant that you meet this age requirement.
5. User Content and Data
5.1 Ownership
As between you and Spikefrost, you retain all ownership rights in and to your Content, including Inputs and Outputs.
5.2 License to Spikefrost
You grant Spikefrost "a worldwide, non-exclusive, royalty-free, fully paid-up license to host, store, transmit, and process your Content" solely for:
- Providing and maintaining the Services
- Enhancing platform performance and security
- Complying with legal and regulatory obligations
Spikefrost will not sell your Content to third parties.
5.3 Data Accuracy and Legality
You represent and warrant that you have all necessary rights and consents to provide the Content to the Services and that the Content does not violate any third-party rights or applicable laws.
6. Fees and Payment
6.1 Subscription Plans
The Services are offered under various subscription plans. Fees, limits, and features for each plan are specified on the website or within the platform interface.
6.2 Billing
Subscriptions are billed in advance on a recurring basis (monthly or annually). You authorize Spikefrost Limited or its third-party payment processor, Stripe, to charge your designated payment method for all fees incurred.
6.3 Non-Refundability
"All fees are non-refundable unless otherwise required by law or expressly agreed in writing by Spikefrost."
6.4 Taxes
Fees are exclusive of VAT and other applicable taxes, which will be added at the prevailing rate where applicable.
7. AI-Powered Features and Outputs
7.1 Processing
Spikefrost utilizes third-party AI models to provide certain features. By using these features, you acknowledge that your Inputs may be processed by these third-party providers.
7.2 Training Data
Unless you explicitly opt-in or are on an Enterprise plan with specific training terms, Spikefrost does not use your Content to train its proprietary AI models or third-party models.
7.3 Nature of AI Outputs
You acknowledge that AI-generated Outputs:
- May be inaccurate, incomplete, or biased
- May not always reflect the most current information
- Are provided for assistance and should be verified by a human professional before being relied upon
You are solely responsible for the use of any Outputs.
8. Acceptable Use Policy
You agree not to use the Services to:
- Generate or distribute illegal, harmful, or offensive content
- Infringe the intellectual property rights of others
- Conduct unauthorized security testing or "stress testing"
- Develop products or services that compete directly with Spikefrost
- Harass, abuse, or harm another person
9. Term and Termination
9.1 Term
This agreement commences on the date you first access the Services and continues until terminated by either party.
9.2 Termination by You
You may cancel your account at any time through the platform settings or by contacting support. Termination will take effect at the end of the current billing cycle.
9.3 Termination by Spikefrost
Spikefrost may suspend or terminate your access immediately if:
- You breach these Terms
- Spikefrost is required to do so by law
- Your use poses a security risk to the platform or other users
10. Disclaimers
"The Services are provided on an 'as is' and 'as available' basis." To the maximum extent permitted by applicable law, Spikefrost Limited disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability (UK Compliant)
11.1 No Exclusion of Certain Liability
Nothing in these Terms shall limit or exclude Spikefrost Limited's liability for:
- Death or personal injury caused by its negligence
- Fraud or fraudulent misrepresentation
- Any other liability that cannot be excluded or limited under the laws of England and Wales
11.2 Limitation of Liability
Subject to Section 11.1, Spikefrost Limited shall not be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for:
- Loss of profits, sales, business, or revenue
- Business interruption
- Loss of anticipated savings
- Loss of business opportunity, goodwill, or reputation
- Any indirect or consequential loss or damage
11.3 Liability Cap
Subject to Section 11.1, Spikefrost Limited's total aggregate liability to you shall not exceed the greater of:
- £100; or
- The total fees paid by you to Spikefrost in the twelve (12) months preceding the event giving rise to the claim
12. Indemnification
You agree to indemnify, defend, and hold harmless Spikefrost Limited and its officers, directors, and employees from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:
- Your breach of these Terms
- Your Content
- Your violation of any third-party rights
13. General Provisions
13.1 Governing Law and Jurisdiction
"These Terms shall be governed by and construed in accordance with the laws of England and Wales." The courts of England and Wales shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms.
13.2 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Spikefrost with respect to the Services and supersede all prior agreements, representations, and understandings.
13.3 Third-Party Rights
A person who is not a party to these Terms shall not have any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these Terms.
13.4 Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
13.5 No Waiver
No failure or delay by Spikefrost in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy.
13.6 Force Majeure
Spikefrost shall not be in breach of these Terms nor liable for any delay or failure in performance resulting from events beyond its reasonable control, including acts of God, natural disasters, pandemics, government actions, or failures of third-party services.
13.7 Survival
Provisions that by their nature should survive termination of these Terms (including Sections 5, 10, 11, 12, and 13) shall survive any termination or expiration of these Terms.
14. Modifications
Spikefrost may revise these Terms from time to time. If material changes are made, notification will be sent by email or through the platform. Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.
